Hi all - have had a lot of great tips from this sub. Hopefully this pays some of you back. I have been watching and researching this since 23 December when it first filed S1, awaiting the units to be listed - they are available today trading as ADERU
Positions - 500 units @ 10.42 to start. Will be monitoring and building position below $15, especially if attention starts to build ahead of units and warrants splitting and shares coming available to Robinhood.
(My other SPAC positions are OPEN, IPO-E-F, PSTH, FUSE, PIPP, ACTC, CCIV and DMYD, 100 to 1000 shares each mostly around NAV and numerous warrants and options around these.)

is a 240m SPAC with usual terms - 10$ units, 1/2 warrants. Seeking a merger in "gaming and gaming technology, branded consumer, lodging and entertainment, and Internet commerce sectors".
I think this is highly worth a play on the online gambling hype if you can get in at near NAV, based entirely on the management which is unbeatable in its knowledge of the gambling industry
   
CEO Jason Ader
has held director level positions at Las Vegas Sands Corp. ($42bn one of biggest casino groups in world), IGT (£3.72bn multinational gambling firm specialised in software and slot machines) and Playtech (£1.4bn multinational gambling software firm)
Before starting his own fund in 2013 he was regularly ranked Wall Street's top analyst on the gambling and leisure sector
His fund, Spring Owl Capital, is a small activist fund focused on gambling and leisure. They are probably most famous for ousting the CEO of Viacom in 2016 and a crusade against Yahoo CEO Marissa Meyer in 2015.
Ader knows the gambling - and online gambling - industry inside out. He drove bWin to a £1.1bn takeover by gambling giant GVC (now Entain) in 2016, and has been driving similar change and demands for improvement at board level at Playtech
The fund mostly manages money for a select group of wealthy families, which could be a positive sign for the SPAC (although I don't know how much skin in the SPAC the fund has, if any)
Here is a video of Ader from November talking about how he's excited about SPACs. He talks about how he has been advising certain States about legalising sports betting and how to maximise value and liquidity by linking up with European companies in the space (Playtech e.g.??).
Ader is extremely bullish on US legalising online casino and more sports betting options, accelerated by need for revenue because of pandemic

One of the most highly respected names in the online gambling world, including COO and CEO positions at major online gambling firms such as Playtech and Stars Group (a world leader in online poker and casino). At Stars he led the $4.7bn takeover of Sky Betting to create the world's largest publicly listed online betting firm in 2018. Most recently he led the £10bn merger between Flutter (biggest gambling company in world by revenue, market cap £26bn), and Stars Group (Ader also involved). Also has connections into the booming Israel tech space which is interesting
   
Joseph Kaminkow
Special Advisor to the Chief Product Officer at Aristocrat, a leading gambling software provider and games publisher, previously Vice President of Game Design at Zynga Inc. This guy is a former video game / pinball designer who is credited with revolutionising the slots industry after moving into gambling software from video games in 1999. Regarded as a "legend" and "hall of famer" in this niche. At Zynga he designed so-called 'social casino games' which don't involve real-money gambling but are otherwise basically gambling apps (revenue from microtransactions etc). 130 patents on gambling/gaming design inventions
   
Greg Lyss
This is a very interesting but extremely low profile person. He was Bill Ackman a.k.a SPACman's right hand man at Gotham Capital. Ackman respected him so much that when Ackman set up a personal hedge fund to invest the Ackman family's money, he put Lyss in charge of it. To repeat - Bill Ackman thinks this guy is such a good investor and trustworthy that he put him in charge of investing his family's money. Don't know anything more about him, but I like this association with Ackman, which suggests to me some integrity around management of this SPAC, especially as the gambling world can be very murky.
The other member of the team is the CFO of SpringOwl with 20+ years' hedge fund experience and not notable (although clearly competent)
   
Thesis / potential targets
Based on the above experience and many public comments by Ader over the past year, I would be very surprised if ADER is not looking to merge with an online gambling technology provider / existing online betting website / social casino app / possibly a supporting technology provider
They are activist inventors, and specifically say in the IPO prospectus that they could look for businesses that can benefit from turnaround or are not being run well. I speculate that their deep knowledge of the European / global online gambling industry means they have a target in mind that they think would benefit from their expertise and US liberalisation of gambling legislation.
   
1) Ader believes the listing of UK-listed gambling companies in US is immediately big in terms of market cap because of the premium on online gambling stocks in US. He has pitched DraftKings to takeover Playtech and called on Playtech to spin off non-core business. This makes me wonder if he would spin off some element of Playtech to list in US to cash in on gambling hype.
This might be Finalto.com / TradeTech which is an online financial platform owned by Playtech. Playtech has been trying to sell this for 200 - 240m since August so it fits. This company provides liquidity and trading to brokerages and runs markets.com a trading site. I wouldn't be that excited although apparently the business has been booming during COVID and there could be a decent pop just on fintech hype.
   
2) This could be a 'picks and shovel' type data/B2B betting software play a la DMYD, or something like e.g. Israel based CRM software Optimove which works with some of biggest online gambling cos and has links to Ashkenazi. This would be interesting but probably not a huge pop
   
3) Possibly - given Ader's links to Sands - an online gambling tie-up with one of the big Vegas casinos who are desperate to get into the online betting space (see MGM's attempt to buy Entain for $8bn last week). Interestingly, Sands' owner Sheldon Adelson, previously a major opponent of online betting, has just died. Ader predicted a few months ago that Sands would be moving in this direction.
“There’s no stopping online gaming,” Ader said [before Adelson's death]. “(Las Vegas Sands’) initiatives to stop online gaming, at this stage, are largely historic. There hasn’t been a lot of spending recently to do that, especially post-pandemic.”
“I think the company will see the value created by DraftKings and FanDuel and Penn (National) Gaming and others. They’re not foolish,” Ader added. source
   
4) Ader is very confident that Macau will legalise online gambling in next year or two. Sands is big in Macau, the biggest gambling market in the world. A SaaS-type product positioned to capitalise on Asian gambling would be MASSIVE - at present however, China's attitude to gambling and local regulations mean this is unlikely
   
5) I also wonder if they might try to take legitimate one of the offshore bookmakers with big customer databases and brand recognition but which have been grey-area/illegal under US gaming legislation. For example, Five Dimes recently announced a settlement with the FBI to attempt to transition into newly legalised US markets. This might have the most hype potential
   
Potential upside
This is entirely a play on management experience and the meme factor / hype around online gambling in the US. I think if they pick a good target - which given their experience and connections seems likely - and get the right publicity and attention from retail investors looking for the next DKNG this could easily 3x and maybe 5-6x if on DKNG-type hype levels.
There is currently little spotlight on this and it is a good time to get in at NAV

How to fix tilt

I am a novice for sure. Played for fun for years and this quarantine I got obsessed. Started with free games while going through req. reading (1%, essential poker math etc.,) and I’m up to real money now (.05/.10). I only play around 5000-10000 hands a week. Mostly online and sometimes live (1 casino an hour away has the poker room open) all cash games so far (except some 3 seat tourney style game on the site I frequent).
With my ignorance of full display... How do I fix going full tilt like an idiot? I will play as well as I am able, then I will lose a big pot and the math will back my decision and then luck will kick in for the villain and then I go mental. It’s like I see someone else get lucky and my brain can’t comprehend it and just stick to the math. Before I know it I am misreading hands saying eff it to the math and I look down and I don’t know what happened.
When I win a big hand; however, I am very disciplined about not going full tilt.
Lurking for a bit I know this may be a dumb question. I just don’t have anyone who knows the game well enough to ask. And I totally get that I’m in poker grade school asking the big kids. So I appreciate any feedback.
Other things I guess to note are: I keep to the book work mostly. Never at a table with more than 5% of my roll, I play pretty tight and try to stay aggressive when I’m in position/in range. I feel like I’m making good strides and then wham I feel like I have no clue what I’m doing again.
Maybe I just needed to vent? Lol this sub is awesome and I’ve learned a lot just reading posts and comments, so thanks for all the knowledge!

The duel arena almost ruined my life

Seeing all the recent posts about removing the duel arena, I thought I'd share my story. English isn't my first language so sorry about any mistakes or weird wording.
I am 26 years old. I started playing OSRS three years ago, and started PKing around a year ago. Soon after, I started staking at the duel arena. At first, it was just small stakes, thinking it would be a fun alternative to PVP, but I quickly lost my entire bank (around 150M) to scams and bad luck. I decided to buy bonds to replace the gold I lost and told myself I would never go to the duel arena again.
Only a week later, I lost my cash stack by dying in an instanced area. I was mad at myself at Jagex for their dumb death mechanics, so I decided to buy back the gold from a website rather than with bonds. I was mad I had lost 100$ and went to the duel arena. I know how stupid this sounds, but I almost felt like I was going to win because I deserved it. But, of course, I lost 200M.
That's when everything started going downhill. I bought back the 200M, staked it, and lost again. Next, I bought 400M and staked it to cover my losses, but lost again. This time I hadn't realized a scammer had an inquisitor's mace hidden in their inventory. I kept doubling up, thinking I would eventually win and be even, but I didn't. I had lost my entire bank account of around 2000$.
That's when things got serious and I started gambling bitcoin on an online casino. I was only trying to recover what I had lost, and never gamble again. But unfortunately, I kept losing, eventually maxing my credit card.
I am now slowly getting out of a 5000$ debt, and getting help from a gambling support group. Several other members of the group also say that OSRS is what started their gambling addiction.
I realize this is all my fault, but gambling doesn't belong in a video game, especially one where it's so easy to trade gold for real-life money.

16 Yr Old losing 1800$ Gambling

Hi, over the course of 4 weeks I’ve made a total of 1800$ and lost it in the span of 2 weeks. I started with a 10$ deposit on a gambling site and I played multiple games until I eventually made my way to 200$ on live casino games then down to 60$, where I tried slots and made a total of $1200. I ended the night off with 960$ from 10$ and was fucking stoked and feeling the best I ever could. I withdrew it and over the course of 2 weeks it never came in my crypto wallet and I can’t really file for support because they would ask for my KYC and then I’d prolly not even get the funds and my dad would kill me if he found out I was gambling (especially since now i lost everything).
Following this I opened 650$ worth of csgo site gambling, csgo cases, and more gambling in general using my real money (I’ve been saving for months and my birthday just passed). I built up a 1200$ cs inventory and this past week I couldn’t hold onto it and deposited it back into these sites and have gambled it all away because I couldn’t really cash it out into real money and the rates I was getting the crypto equivalent was worse than me 650$ initial deposit so my brain told me to gamble it till I was in profit and little by little my whole inventory disappeared and I now have nothing.
This has taken a toll on me mentally and physically. I use to workout everyday and keep up with my social and now I haven’t in a week and respond to everyone every 10 hours. My schoolwork is up to par but I’ve always been a consistent student and I don’t want to slack. I didn’t think I’d be addicted to gambling as I’ve done multiple other things just as bad that haven’t affected me like this but it was probably due to the fact I made it to such an insane number from 10$ I thought I could do anything. Now here I am sharing my story and hopefully never going to gamble again (yes I’ve already started a plan to stop) and I am kind of thankful it’s happening to me now and not when I’m a working adult who could potentially be a crippling gambling addict (although 650$ is a lot of money but if it’s saved me from a future of debt I’m thankful). Now initially I was gambling for the thrill because my profits way exceeded my deposit but these past few days I’ve chased my losses and tried to actually make money (which was never the intent I always knew it was a losing game) because I was delusional to think that I could make it all back easily.
So here I am 1800$ profit down the hole and 650$ of my own money down the hole. I’ve been gambling little amounts since quarantine because I was bored out of my mind but they would be at intervals of like 10$ every other week or so (which is still bad but not even close to as bad as this month). I’m also physically and mentally drained and I haven’t felt worse in a long time. The craziest thing is that no one knows besides who I told that I’m even like this right now and I seem completely normal. I dont have any cravings to gamble right now and hopefully I won’t in the near future as I have accepted my losses and started to do online work to get it back (without gambling). It’s also a test of willpower to see if I relapse or not which I hope I don’t
Now your probably asking me why I wouldn’t just cash out my 1200$ inventory and I can’t even give you a proper answer to that one. It’s mainly because I saw that I’d be selling it at 60-65% lf it’s marker value which breaks even with what I spent and then you have to add in the commission from the website and the fact that crypto is really high rn so the amount I’d be getting isn’t as much as it could’ve been (although I could just hold it it’s bound to go up long term ETH and BTC specifically). So I thought that if I could deposit all my skins on the gambling sites (they take it at like 70% of the market value) and then proceed to gamble it all the way up till 1200$ I could cash it out without losing that humongous chunk of profit because I’m very greedy and pessimistic when it comes to settling down for a reasonable price. Then it went downhill and I lost everything. My luck in every game was horrible I was literally losing every game I played (which doesn’t surprise me it’s like these websites know when your desperate and when your not).
Moral of the story is don’t gamble and if you do use an amount your comfortable with losing. If you do and you lose don’t go back in and if you do and you win cash out and don’t go back in because once you win you get this feeling that you could profit if you just put in a lil more and this is when you’re sucked in. There are better ways to make money (I invested in Bitcoin when I was younger and my profits r insane but I will never touch my btc wallet for money because it’s a long term investment). Don’t chase your losses either if you lose accept that you’ve lost and you won’t be digging yourself deeper in a hole you can’t get out of. I actually hope that you lose the first time you gamble because you’ll probably stay away from it which is way valuable than any sort of winnings you would’ve had.
I should say though that not all of it is your fault (most of it is tho). Online gambling is as enticing as ever especially during a pandemic, and although most of these sites always say “don’t go on unless your 18+” they know that a lot of underage people use their website. It’s also the fact that it’s SO EASY to deposit onto these sites and withdraw. Since most teenagers have a debit card (or even buying prepaid cards works on most of them), it takes a quick 3 minutes to put on a few hundred dollars if you really wanted to. The withdrawals aren’t usually restricted either unless it’s big amounts in the thousands (which most kids don’t have in the first place) meaning it looks like an easy way to make money and cash out. Most of these sites won’t push for age verification because it’s easy money when teenagers deposit money. And before they even go on these websites, games like csgo and dota 2 have BUILT IN GAMBLING SYSTEMS. These case and cosmetic openings in the game usually cost a small sum of money but are usually the start of thjs gambling interest especially when they get something good from the case and want to put more down. I’d call myself a lucky person considering I’ve unboxed 2 knives, and a red and multiple pinks in a kind of small amount of cases compared to the average person and this just drove me to try my luck on all these gambling sites since I had good luck in the game. These websites and games aren’t “anti- teenage gambling”.

I think it’s fitting that my first stock pick has to do with sports. Sports has been a part of my life since I could walk at the age of 2. First with baseball and soccer, and then later in my childhood with golf. I’ve always played American football and basketball for fun as well and have always been an avid fan of all the major sports in the US.
I started playing fantasy sports (mostly just fantasy football) about 6 years ago and have always enjoyed it. Traditionally, with fantasy football you draft a team at the beginning of the year and those are your players for the rest of the season. If you have a bad draft, oh well. You can try to improve your team with trades and free agent additions but it is tough. Leagues usually consist of 10-14 teams (each managed by an individual) and there’s obviously only one winner at the end of the season (about 4 months after the draft). This can lead to the managers of the lower performing teams losing interest as the season wanes on. I believe DraftKings’ (DK) founders saw this issue and saw an opportunity. Enter, daily fantasy sports. Now, with the DK platform you can draft a new team every week. Or if you want, every day. This allows fans of fantasy sports to engage at whichever point of the season they want and at varying financial stakes.
The Thesis Statement
For every stock pick I make, I want to provide a quick thesis statement that can serve as a reminder for why I’m buying and holding that stock for the long term. I’ll always aim to make it just a few sentences long so it can easily be remembered and internalized. This helps during times when the price may sporadically drop and you need to remember why you’re holding this position.
The thesis statement I have come up with for DK is as follows:
“DraftKings: The leader in allowing fans to engage financially with their favorite sports, teams, and players. Having money at stake makes the game a lot more interesting to watch. The era of daily fantasy sports games, online sports betting, and online betting (outside of sports), is just getting started and DK is as well positioned (or better positioned) than anyone to capitalize off of this trend.”
Notice how I said “allowing fans to engage financially” as the first sentence and not necessarily “allowing fans to gamble”. There’s a reason for that. According to US Federal Law, Daily Fantasy Sports (DFS) contests have specifically been exempted from the prohibitions of the Unlawful Internet Gambling Enforcement Act (UIGEA). DK has always been, and I believe will continue to be DFS contests 1st, sports betting 2nd, and other forms of gambling/entertainment 3rd. It is noteworthy that states at an individual level can still deem DFS contests illegal if they so wish, but as of this writing (11/26/20), 43 of the 50 US States allow DFS contests and DK, accordingly, is offering DFS contests in all 43 of those US States.
I’ll try to clarify the difference between DFS contests and sports betting real quick:
DFS Contest – Pay a pre-set entry fee to enter a contest. All entry fees go towards “The Pot”. “Draft” 9 players to be on your “Team” for 1 week. Enter your “Roster” into a contest with other players (could range from 1 other person to 1,000s of people, the DK user can choose). Whichever “Roster” amasses the most points for that week out of all contestants wins. The winner will get the highest payout, and depending on the nature of the contest, other top finishers will receive smaller payouts as well.
Sports Gambling – Team A is considered a 10 point favorite to defeat Team B. This means that Team A is expected, by the professional gambling line setters, to outscore Team B by 10 points. This is known as a point spread. You can bet on the underdog or the favorite. If you bet on the favorite, they have to win by more than 10 points for you to win the bet. If you bet on the underdog, you will win the bet as long as the underdog keeps the game within less than a 10 point defeat.
These are just a couple simple examples to help you see the difference. Sports Gambling (the 2nd priority of DK) is a very lucrative market just as the DFS contests are. However, in the US, Federal Laws and regulations are a lot stricter on Sports Gambling than they are on DFS. As of this writing (11/27/20), 22 states (including the District of Columbia) out of 51 possible allow sports gambling.
DK is still in the infancy stages of getting their sports gambling business going. In the 22 states where they could potentially operate, they currently have a sports gambling offering in 11 of those states. The sports gambling business model for DK can be broken into two main offerings – mobile sports betting, and retail sports betting. Mobile sports betting means you can place a sports bet online from the comfort of your own home, while retail sports betting means you must go to a casino and place a bet with the sportsbook in person. I personally believe mobile sports betting is the real potential cash cow for DK out of the two types of sports betting offerings due to the convenience and ease of access. DK is currently working on and encouraging customers to lobby their state lawmakers to legalize sports gambling in more states.
How DK makes money
At the very least, before you invest in a company, you better understand how they make money. In Chris Mayers’ excellent book, 100 Baggers, that I mentioned above, he continually references top line revenue growth as one of the main common indicators of a possible 100 Bagger. This isn’t to tell you that any stock I pick will be a 100 Bagger just because it has great top line revenue growth, but if I am looking at a growth stock to hold for the long term, revenue growth is one of the first things I look at.
For DK, their means of making money is quite simple. I already went into detail above about DFS Contests and Sports Gambling. In DK’s latest 10-Q filing with the SEC (filed 11/13/20), revenue is broken out into two main streams: Online Gaming and Gaming Software.
Online Gaming (82% of Total Revenue for 9 months ended 9/30/20):
Online gaming is the true core business of DK and includes the aforementioned DFS Contests, Sports Gambling and additional gambling (non-sports) opportunities. DK refers to their additional gambling (non-sports) as “iGaming” or “online casino”.
For the 9 months ended 9/30/20, Online Gaming revenue totaled $239M, up 30% YoY from $184M in the same prior year period. Keep in mind, that this is an increase that happened during a COVID-19 global pandemic that delayed and shortened many professional sports seasons.
Online gaming revenue is earned in a few ways that are slightly different, but very similar overall. In order to enter a DFS contest, a customer must pay an entry fee. DFS revenue is generated from these entry fees collected, net of prize payouts and customer incentives awarded to users. In order to place a sports bet (sports gambling), a customer places a wager with a DK Sportsbook. The DK Sportsbook sets odds for each wager that builds in a theoretical margin allowing DK to profit. Sports gambling revenue is generated from wagers collected from customers, net of payouts and incentives awarded to winning customers. The last form of online gaming revenue is earned in similar fashion to a land-based casino, offering online versions of casino games such as blackjack, roulette, and slot machines.
Gaming Software (18% of Total Revenue for 9 months ended 9/30/20):
While the Online Gaming revenue stream mentioned above is a Business to Consumer (B2C) model, the Gaming Software revenue stream is a Business to Business (B2B) model. The Gaming Software side of the business was born out of the acquisition of SBTech, a company from the Isle of Man (near the UK) founded in 2007 that has 12+ years of experience providing online sports betting platforms to clients all over the world. The acquisition occurred as part of the SPAC driven IPO in April of 2020 that combined “the old DK company” with SBTech so that they now are “the new DK company” listed as DKNG on the NASDAQ. SBTech is a far more important part of the story than just being 18% of today’s revenue. The reason for this is because DK will eventually (planned mid-late 2021) be migrating all of their DFS and gambling offerings onto SBTech’s online platforms. Currently, for DFS, DK uses their own proprietary platform but that will move to SBTech with the migration. Currently, for online gambling, DK uses Kambi, the same online gambling platform that services Penn Gaming (PENN), a DK rival. But that’s enough about the software migration for now, back to the Gaming Software revenue.
The Gaming Software revenue stream for DK is essentially a continuation of SBTechs’ B2B business model. DK contracts with business customers to provide sports and casino betting software solutions. DK typically enters two different type of arrangements with B2B customers when selling the gaming software:
  1. Direct Customer Contract Revenue: In this type of transaction, the software is sold directly to a business (casino for example) that wants to use the software for their own gambling operations. This revenue is generally calculated as a percentage of the wagering revenue generated by the business customer using DK’s software and is recognized in the periods in which those wagering and related activities conclude.
  2. Reseller Arrangement Revenue: In this type of transaction, DK provides distributors with the right to resell DK’s software-as-a-service offering to their clients, using their own infrastructure. In reseller arrangements, revenue is generally calculated via a fixed monthly fee and an additional monthly fee which varies based on the number of gaming operators to whom each reseller sub-licenses DK’s software.
As mentioned above, SBTech was an international company based in the Isle of Man before being acquired by DK. Thus, the majority of their business in their first 12 years of operating independently has always been international and outside of the United States. This has helped DK, which has historically been US focused, expand it’s international reach.
A perfect example of expanding this international reach occurred recently during October (technically Q4) in which DK’s B2B technology (powered by SBTech) helped enable the launch of “PalaceBet”, a new mobile and online sportsbook offering from Peermont, a South Africa based resort and casino company. The deal was headed by DK’s new Chief International Officer, Shay Berka, who previously spent 10 years working for SBTech as CFO and General Manager. Mr. Berka took on the role of DK’s Chief International Officer upon the merger in April earlier this year. I think this deal shows that DK has integrated SBTech and it’s business very well into the larger business as a whole. They are not wasting any time using their newly acquired resources to expand their reach and bring in new sources of revenue.

Mr. Chhabra led William Hill’s entry into the U.S. sports betting and online lottery markets with the acquisition of four businesses, including the simultaneous acquisitions of three U.S. sportsbooks, Cal Neva, American Wagering and Brandywine Bookmaking, in 2011 for an aggregate purchase price of $55 million. These businesses ultimately led William Hill to achieve a leading position in the U.S. sports betting market with a market share of 24% in 2019. Additionally, Mr. Chhabra played a key role in structuring William Hill’s successful joint venture with PlayTech Plc (LSE: PTEC) in 2008. Mr. Matejevich is a seasoned gaming executive with extensive experience in both the online gaming and traditional casino industries. From February to August 2019, he served as Trustee and Interim-Chief Executive Officer of Ocean Casino Resort (“Ocean”) (formerly Revel Casino, which had a construction cost of $2.4 billion) in Atlantic City, where he successfully led the management team through an ownership change and operational turnaround effort. Over the course of seven months, Mr. Matejevich managed to reduce the property’s weekly cash burn of $1.5 million to an annualized cash flow run rate in excess of $20 million.
Prior to Ocean, from 2016 to 2018, Mr. Matejevich served as the Chief Financial Officer of NYX. At NYX, he focused his efforts on integrating the company’s many acquisitions and multiple debt refinancings to simplify its capital structure and provided liquidity for growth initiatives. Additionally, Mr. Matejevich was instrumental to the executive team that sold NYX to Scientific Games for $631 million.
Prior to NYX, from 2004 to 2014, Mr. Matejevich was the Chief Financial Officer of Resorts International Holdings and later, from 2011, also the Chief Operating Officer of the Atlantic Club Casino, a property under the Resorts International Holdings umbrella — a Colony Capital (NYSE: CLNY) entity. As Chief Financial Officer, he provided managerial oversight for all finance functions for a six-property casino company with annual gaming revenue exceeding $1.3 billion, 10,000 gaming positions, 7,000 hotel rooms and over 11,000 staff members during his tenure. Mr. Matejevich led the transition effort to integrate a four-casino, $1.3 billion acquisition from Harrah’s Entertainment and Caesars Entertainment (Nasdaq: CZR). As Chief Operating Officer of Atlantic Club, he lobbied for and was successful in obtaining the first internet gaming legislation passed in the United States. For 2020 year-to-date, Resorts has performed in the top quartile in internet gross gaming revenue in New Jersey. Mr. Bailey’s efforts in New Jersey helped set the framework for expansion of online sports and gaming throughout the United States.
In addition to his gaming interests, Mr. Bailey has over 50 years of experience in all facets of real estate development, asset M&A, capital markets and operations and is the founder, Chief Executive Officer and Principal of JEMB Realty, a leading real estate development, investment and management organization. Mr. Rodio has nearly four decades of experience in the gaming industry. Most recently, Mr. Rodio served as the Chief Executive Officer and director of Caesars Entertainment Corporation (“Caesars”) (Nasdaq: CZR), one of the world’s most diversified casino-entertainment providers and the most geographically diverse U.S. casino-entertainment company, from April 2019 until its acquisition by Eldorado Resorts, Inc. in July 2020. Each of these initiatives, among others, generated substantial value for Tropicana. Ultimately, Mr. Rodio’s efforts at Tropicana led to its sale to Eldorado Resorts in 2018 for $1.85 billion. Prior to Tropicana, Mr. Rodio held a succession of executive positions in Atlantic City for casino brands, including Trump Marina Hotel Casino, Harrah’s Entertainment (predecessor to Caesars), the Atlantic City Hilton Casino Resort and Penn National Gaming. He has also served as a director of several professional and charitable organizations, including Atlantic City Alliance, United Way of Atlantic County, the Casino Associations of New Jersey and Indiana, AtlantiCare Charitable Foundation and the Lloyd D. Levenson Institute of Gaming Hospitality & Tourism. Mr. Rodio brings extensive knowledge of and experience in the gaming industry, operational expertise, and a demonstrated ability to effectively design and implement company strategy. Mr. Rodio received a Bachelor of Science from Rider University and a Master of Business Administration from Monmouth University.
Marlon Goldstein — Director Nominee
Mr. Goldstein is a licensed attorney with nearly 20 years of experience in the gaming space. He joined The Stars Group (Nasdaq: TSG)(TSX: TSGI) in January 2014 as its Executive Vice-President, Chief Legal Officer and Secretary until his retirement from the company in July 2020 following the merger of TSG with Flutter Entertainment, PLC (LSE: FLTR). Mr. Goldstein also previously served as the Executive Vice-President, Corporate Development and General Counsel of TSG. Mr. Goldstein was also the senior TSG executive based in the United States and was one of the primary architects of TSG’s strategic vision for its U.S.-facing business. During his tenure, TSG grew from an approximately $500 million market-cap company to an approximately $7 billion market-cap company through a combination of organic growth and strategic mergers and acquisitions. Investors have been rushing into the nearly bankrupt strip mall video game retailer GameStop faster than shoppers hoping to score a PlayStation5 at a Black Friday door-crashers sale. Suddenly, the company is valued more than big box tech behemoth Best Buy. Its shares are trading at a volume surpassing even the biggest stock of them all, Apple.
If you think it’s because GameStop suddenly re-invented the video game wheel, the answer is no. In fact, other than the hiring of a new CEO, not much at the company has changed since last year when a share of GameStop stock could be had for as little as $5. But at their peak (as of this writing) on the morning of Thursday, Jan. 28, the company’s shares hit $500 in premarket trading. Cumulatively, GameStop stock has skyrocketed 1,200% in the recent period.
With game enthusiasts embracing streaming subscriptions and turning away from plastic cartridges, many analysts have been predicting GameStop will soon be going the way of Blockbuster—another modern incarnation of video killing the radio star. So if GameStop did little, if anything, to turn around its sagging fortunes, why are its shares in such high demand?
The only thing that changed is that Wall Street powerhouse hedge funds and short-sellers have lost their monopoly on gaming the stock market casino.
The meteoric rise in GameStop shares—and to a lesser extent those of other troubled companies, like Bed Bath & Beyond, Blackberry, movie house AMC, and even candy maker Tootsie Roll—is being driven by the actions of a group of what the Wall Street professionals call dangerous amateurs.
Coordinating with each other on a section of the online platform Reddit called WallStreetBets, a huge number of relatively small-time investors (around 2.2 million of them by the most recent count) have teamed up to take on the big guys in a battle that has all the trappings of a Robin Hood tale.
The “short” in a nutshell
To understand the game plan of the WallStreetBets crowd, it’s necessary to know some of the lingo of Wall Street gambling—especially the concept of the “short.”
A short is when an investor essentially “borrows” a company’s stock from a broker. The investor then takes that borrowed stock and sells it on the market. The hope of the “short seller” is that the value of that company’s stock will drop before they are due to return their borrowed shares, allowing them to re-buy the stock at a cheaper price and return it to the broker—pocketing the difference as a profit.
In essence, they are placing a bet against a company’s future. They believe the company is worth less than the market is valuing it at, and when that reality sets in among others, then they will get to cash in on their foresight.
As an example, a short-seller may borrow a share of Company A and sell it for the current market price of $100. They do so because they believe Company A isn’t really worth $100 per share and eventually the price will drop. If they are right, and the price of Company A shares sink to $60, then the short-seller will re-buy the share at the new price and return it to the broker (called “covering the short”). The $40 difference is their profit.
If they are wrong, however, and Company A’s shares go up, then they will lose out on their bad bet. Let’s say that Company A shares go from $100 to $120. When the short-seller’s stock loan comes due, they have to buy a share at whatever the current price is and return it to the broker. Their loss in this case would be $20. But what if the price of Company A shares go even higher, to $150, $200, or $500?
In a regular stock transaction, when a person actually buys a share (as opposed to borrowing it like a short-seller does), their potential loss is capped at whatever they paid. You can’t lose more than you put in. But for a short-seller, the potential loss is actually endless. When the due date comes for their borrowed shares, they have to pay whatever it takes to cover their short.
Gambling against GameStop
Now, back to the real world and the GameStop situation.
A number of weeks ago, the “amateur” investors on WallStreetBets started focusing their attention on the huge hedge funds with massive short bets against GameStop. They targeted outfits like Melvin Capital and Citron Research that had taken short positions in GameStop and then spent months talking about how bad the company was (an intentional effort to drive down its share price).
The gambling against GameStop had gotten so extreme that there were over 71 million borrowed short shares out there, even though the company has only 69 million shares—short-sellers were “borrowing” stock that didn’t even exist! These Wall Street titans became the villains for the Reddit Robin Hoods. (Appropriately, Robinhood is the name of a popular trading app used by many of the so-called untraditional investors.)
WallStreetBets members fantasized about how great it would be to make these short-sellers scream by driving up the price of GameStop. Some believed that GameStop really had a chance to turn around and was being unfairly punished by the short-sellers; for others, it was simply the joy that would come from sticking it to the hedge funds.
They’d done it before, on a smaller scale, with other shorted companies. If they got together again and acted in unison with their dollars, they could inflict some real pain on Melvin and Citron.
Putting the squeeze on the short sellers
Within days, WallStreetBets (and others who followed in their wake) engineered what’s called a “short squeeze”—an escalation of a company’s share price that forces short-sellers to buy at an inflated value. Panicked traders at Melvin, Citron, and other big short-sellers reacted exactly as predicted: They scrambled to cover their shorts, knowing that the longer they waited, the more they risked losing.
By the middle of this week, the short-sellers were surrendering. Citron’s managing partner Andrew Left admitted the company had to cover its short Tuesday afternoon at “a loss of 100%.” As for Melvin Capital, it was only kept afloat by an injection of $2.75 billion in funds from other asset management firms. Data from financial analytics firm S3 Partners shows that GameStop short-sellers have collectively lost more than $5 billion in the month of January alone.
The masters of finance on Wall Street are, to put it mildly, pissed. This is a crowd that has enjoyed pretty much unrestrained power for decades, dodging the efforts of governments and activists to rein them in. To be outmaneuvered by a bunch of millennials on the internet has them seeing red—both literally and metaphorically.
Traditional stock market analysts and financial commentators are musing about whether the coordinated moves of WallStreetBets are illegal. Many are urging the Securities and Exchange Commission to chase down what they’re characterizing as a “pump and dump” scheme. They are crying out for help from the same regulators they themselves spend all their time avoiding and undermining.
These are the guys who brought us the financial crisis of 2008-09 and the Great Recession. They’re the ones who have made billions of dollars off the pandemic in the past year while the rest of the country lost their jobs and homes—or died from coronavirus. Whatever losses they’re experiencing now are certainly well-deserved.
That makes it very tempting to cheer on the WallStreetBets crusaders. Richard Smith, a market behavior analyst at the Foundation for the Study of Cycles, described their role to Markets Insider: “You have these media-driven platforms where the media isn’t controlled by the institutions in the way that it has historically been.” He characterized this as “a sign that the institutions are losing control.”
Heroes or same-old capitalists?
But WallStreetBets is not necessarily a den of folk heroes or investors driven by some social conscience. Some are saying they plan to make charitable donations with some of their winnings, but other forum members are simply bragging about all the money they’ve made from outsmarting the old Wall Street. One of the key ringleaders of the short squeeze effort, someone who goes by the username DeepFuckValue, claims to have turned a $50,000 GameStop investment into $20 million amidst the chaos.
Undoubtedly some of the more talented among the WallStreetBets crowd will be recruited to join the ranks of top firms—rebels eventually co-opted by the system. Others will get too caught up in the euphoria and eventually lose all their money when the bubble bursts. And let’s face it, this is capitalism—the bubble always bursts.
It’s also necessary to remember that the most powerful segments of finance capital usually find a way to shift the price for their gambling onto the rest of society by one means or another (remember the bailouts for the “too big to fail” banks?). It would be delusional to think that Wall Street isn’t making moves to offload its losses and go on the offensive.
The empire of high finance is already striking back. By Wednesday evening, the WallStreetBets forum on Reddit had gone dark, for reasons not yet clear. The WallStreetBets server on Discord was shut down. On Thursday morning, brokers started implementing restrictions on GameStop trades, raising expectations that more action will be taken by the establishment to regain control.
Taking note of the fact that trades in GameStop, AMC, and other shorted stocks were now blocked on the Robinhood platform, one Twitter user observed, appropriately, “The free market is only free until rich people lose money.”
Wall Street’s control over our society won’t be meaningfully challenged by simply replacing one group of gamblers with a different, younger group of gamblers. It wasn’t the robbers like Bonnie and Clyde that beat the banks and fought back against the Great Depression in the 1930s—it was the coalition of labor, African-American, and other people’s movements that won the New Deal and put capitalism on notice.
Now, as then, only organized political struggle by the working class and democratic movements has the potential to upend the power of finance capital for good and allow us to collectively decide our future.
So we can enjoy a laugh at the misfortunes of the hedge funds and short-sellers, but then we have to keep organizing.
